【英文】For purposes of this Certificate，any stock of any series or class of the Company shall be deemed to rank：

（a）senior to the shares of Series B Preferred Stock，as to dividends or upon liquidation，dissolution or winding up，as the case may be，if the holders of such class or classes shall be entitled to the receipt of dividends or of amounts distributable upon dissolution，liquidation or winding up of the Company，as the case may be，in preference or priority to the holders of shares of Series B Preferred Stock.

【译文】按本证书规定，该公司发行的任何系列或种类之股票的等级将视为：

（a）…就分红而言或一旦出现清算、解散或停业清理（视实际情况而定），如果该类股票持有人有权在该公司分红或在公司解散、清算或停业清理时有权获得可分配财产（视实际情况而定），则这些股票之等级将优于B系列优先股，并优于或先于B系列优先股股份持有者。

【解释】as the case may be意为“视具体情况而定”，在商业合同中使用频率较高。

再如：

Upon the application and justification of the divestiture obligor，the Ministry of Commerce may properly extend the time limit for ownership transfer，as the case may be.〔译文：根据具体情况，经剥离义务人申请并说明理由，商务部可酌情延长所有权转移的期限。〕
